Terms and Conditions of Sale

Qayyum Exports, Qayyum House, PO Box 241, Station Road, Bhadohi 221 401, Uttar Pradesh, India.

1. Scope

These terms apply to all quotations, proforma invoices and sales by Qayyum Exports ("QE") to trade buyers ("the Buyer"). The Buyer's own terms apply only where QE has agreed to them in writing.

2. Quotations and orders

Quotations are offers to negotiate and remain valid for the period stated on them. An order is binding once the Buyer confirms QE's proforma invoice. The proforma invoice, together with any specification, approved sample and packing instructions referred to in it, sets out the agreed goods.

3. Prices, delivery terms and payment

Prices, currency, delivery terms (Incoterms®) and payment terms are those stated on the proforma invoice. QE may suspend production or shipment while payments are overdue.

4. Handmade products

Goods are made by hand to the approved sample and specification. Slight variations in size, shade, pattern and texture are a natural feature of handmade products and are not defects when within agreed tolerances or normal trade practice.

5. Delivery

Shipment dates are given in good faith. QE will inform the Buyer promptly of any expected delay and is not liable for delays caused by events beyond its reasonable control.

6. Inspection and claims

The Buyer may arrange inspection before shipment by agreement. Any claim must be made in writing promptly after arrival of the goods, with supporting details, and the goods kept available for inspection. Accepted claims are settled by repair, replacement or credit, as agreed between the parties.

7. Risk and title

Risk passes in accordance with the agreed Incoterm. Title passes to the Buyer once QE has received payment in full.

8. Designs and intellectual property

The Buyer confirms that any designs, artwork, labels or trademarks it supplies may lawfully be used. Designs and samples developed by QE remain QE's property unless otherwise agreed in writing.

9. Compliance

The Buyer should inform QE before confirming an order of any requirements of the destination market, such as labelling, chemical restrictions or testing.

10. Liability

To the extent permitted by law, QE is not liable for any indirect or consequential loss.

11. Governing law

These terms are governed by the laws of India.
